If the board declines Musk's offer, he will dump his stock and the price will drop very quickly.

Because Brian Stelter the propaganda troll said so??

Tommy!! C’mon, man. You gotta do better than that. Musk is going to do it just because Stelter said he won’t. That’s the brilliance of the situation here.

CNN:

Twitter's board of directors has adopted a limited-term shareholder rights plan called a "poison pill" that could make it harder for Elon Musk to acquire the company.

The "poison pill" provision, announced in a press release Friday, preserves the right for Twitter shareholders other than Musk to acquire more shares of the company at a relatively inexpensive price, effectively diluting Musk's stake. The provision will be triggered if Musk (or any other investor) acquires more than 15% of the company's shares. Musk currently owns around 9% of Twitter's shares.

Fox:

The plan, which will expire on April 14, 2023, does not prevent Twitter's board from engaging with parties or accepting an acquisition proposal if they believe it is in the best interest of the company and its shareholders.

_________

Though Elon Musk has said that the offer is his "best and final" one, he revealed at TED2022 on Thursday that he is prepared with a plan B. When asked for specific details, he declined to elaborate.

Why can’t/don’t other companies do that when a takeover is mounting? There must be some big downside here when you start diluting the shares.

Some do, of course. Some that do might also find their board replaced at the next AGM or special meeting petitioned by shareholders, of course.

Elon Musk reportedly formed three holding companies in Delaware, all with variations of the name “X Holdings,” according to a new report from Bloomberg. The establishment of one of the companies is being used to fund Musk’s Twitter purchase, should it occur.

The filings don’t explicitly mention it, but they also hint toward the potential that an umbrella company for his multiple entities could be in the works, as Musk has entertained the idea in the past.

The pendulum has begun to swing back.

Musk has called Twitter’s censorship of the Hunter Biden laptop story “obviously incredibly inappropriate.”

I also think Jack Dorsey knew something was in the works before Musk started publicly acknowledging his intentions. Dorsey walked last year, and as Musk began hinting at his intentions, Dorsey started speaking his mind on censorship, and appears quite aligned with Musk’s primary motives.

My guess is this has been in the works since Twitter banned Trump and started censoring news agencies for stories that were unfavourable to Biden.

Twitter banned Babylon Bee.  A comedy site.  That's what set Musk off.

Brian Stelter's take is ridiculous.

VIDEO:  https://youtu.be/WjFINf72Oqg

“If you get invited to something where there are no rules, where there is total freedom for everybody, do you actually want to go to that party or are you going to decide to stay home?”

Brian Stelter is like the kid in your elementary school that reminds the teacher to administer a test or assign homework.
