Twitter's board of directors has adopted a limited-term shareholder rights plan called a "poison pill" that could make it harder for Elon Musk to acquire the company.
The "poison pill" provision, announced in a press release Friday, preserves the right for Twitter shareholders other than Musk to acquire more shares of the company at a relatively inexpensive price, effectively diluting Musk's stake. The provision will be triggered if Musk (or any other investor) acquires more than 15% of the company's shares. Musk currently owns around 9% of Twitter's shares.

The plan, which will expire on April 14, 2023, does not prevent Twitter's board from engaging with parties or accepting an acquisition proposal if they believe it is in the best interest of the company and its shareholders.

Though Elon Musk has said that the offer is his "best and final" one, he revealed at TED2022 on Thursday that he is prepared with a plan B. When asked for specific details, he declined to elaborate.

The filings don’t explicitly mention it, but they also hint toward the potential that an umbrella company for his multiple entities could be in the works, as Musk has entertained the idea in the past.

Musk has called Twitter’s censorship of the Hunter Biden laptop story “obviously incredibly inappropriate.”
I also think Jack Dorsey knew something was in the works before Musk started publicly acknowledging his intentions. Dorsey walked last year, and as Musk began hinting at his intentions, Dorsey started speaking his mind on censorship, and appears quite aligned with Musk’s primary motives.
My guess is this has been in the works since Twitter banned Trump and started censoring news agencies for stories that were unfavourable to Biden.
